1. Agreement to Terms

By accessing or using OrbiPilot ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Service Description

OrbiPilot is a route optimization platform that helps businesses plan efficient multi-vehicle delivery routes. The Service uses algorithms (OR-Tools, OSRM) to optimize task assignments and generate turn-by-turn routing instructions.

3. User Accounts

3.1 Account Creation

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 16 years old to create an account
• One person or legal entity may not maintain multiple free accounts

3.2 Account Responsibilities

• You are responsible for all activities under your account
• Notify us immediately of any unauthorized access
• We are not liable for losses due to stolen or compromised credentials

4. Subscription Plans and Payments

4.1 Plan Tiers

• Free Plan: Limited to 10 optimizations/month, 3 vehicles, 50 tasks
• Pro Plan (€49/month): Unlimited optimizations, 10 vehicles, 500 tasks
• Enterprise Plan: Custom pricing with unlimited resources

4.2 Billing

• Subscriptions are billed monthly in advance
• All fees are in EUR and exclude applicable taxes (VAT)
• No refunds for partial months or unused optimizations
• Failed payments may result in service suspension

4.3 Free Trial

Pro plan includes a 14-day free trial. No credit card required. You will not be charged unless you explicitly upgrade after the trial period.

5. Acceptable Use Policy

You agree NOT to:

• Violate any laws or regulations
• Upload malicious code or attempt to hack the Service
• Reverse engineer, decompile, or disassemble the platform
• Use automated scripts to abuse API limits
• Resell or redistribute the Service without authorization
• Upload false, misleading, or fraudulent data
• Interfere with other users' access to the Service

6. Intellectual Property

6.1 Our IP

OrbiPilot, its logo, and all related trademarks are owned by us. The Service's source code, algorithms, and user interface are protected by copyright and other intellectual property laws.

6.2 Your Data

You retain all rights to the data you upload (task addresses, coordinates, etc.). By using the Service, you grant us a limited license to process this data solely for providing route optimization services.

7. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted access
• We may perform scheduled maintenance with advance notice
• We are not liable for downtime, data loss, or service interruptions
• We may modify or discontinue features with reasonable notice

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR.

9. Limitation of Liability

To the maximum extent permitted by law:

• OrbiPilot provides the Service "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not responsible for route accuracy or delivery outcomes
• You are responsible for verifying optimized routes before use

10. Termination

10.1 Your Rights

You may cancel your account at any time from account settings. Cancellation takes effect at the end of your current billing cycle.

10.2 Our Rights

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security risk to the Service or other users

You agree to indemnify and hold harmless OrbiPilot from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of third-party rights
• Route planning decisions based on optimization results

13. Governing Law

These Terms are governed by the laws of Belgium. Any disputes will be resolved in the courts of Brussels, Belgium. EU consumers retain statutory rights under consumer protection laws.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be announced via email or a prominent notice on the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance.
